These Terms and Conditions ("Terms") govern your use of ProDispatch, an AI-powered dispatch and communications platform for home service businesses, operated by ProDispatch ("we," "our," or "us"). By accessing or using ProDispatch, you agree to be bound by these Terms. If you do not agree, do not use the platform.
1. Service Description
ProDispatch is an AI dispatch and communication system for home service businesses. Our platform:
- Automatically responds to missed calls with SMS messages on behalf of your business
- Collects service request details and qualifies incoming leads via automated text conversations
- Schedules appointments and dispatches technicians based on availability and job type
- Sends automated status updates, ETA notifications, and follow-up messages to your customers
- Provides a dashboard for managing jobs, technicians, and customer communications
ProDispatch is a B2B platform. Home service businesses ("Customers") purchase access to the platform to manage their own customer communications. End consumers receive communications sent through the platform on behalf of the businesses they contacted.
2. User Responsibilities
By using ProDispatch, you agree to:
- Provide accurate information — all business information, technician details, and service configurations you enter must be accurate and current
- Authorized phone use — you must only use phone numbers you own or are authorized to use, and you represent that your use of ProDispatch for SMS communications complies with applicable law, including the Telephone Consumer Protection Act (TCPA)
- Lawful use only — you may not use ProDispatch for any unlawful purpose, to harass, spam, or deceive end consumers, or in any way that violates applicable regulations
- Consent management — you are responsible for ensuring that customers who receive SMS messages via ProDispatch have provided appropriate consent in accordance with TCPA and applicable state laws
- Account security — you are responsible for maintaining the confidentiality of your account credentials and for all activity under your account
3. SMS & Messaging Terms
ProDispatch sends automated SMS messages on your behalf to customers who call your business. By activating SMS features in ProDispatch, you confirm that you have the necessary consents and legal authority to send automated text messages to your customers.
Important terms regarding SMS messaging:
- Automated messages — ProDispatch uses automation and AI to generate and send text messages. Messages include missed call acknowledgments, service qualification questions, appointment confirmations, and technician ETA updates
- Message frequency — message frequency varies based on service interactions, typically 3–8 messages per service interaction
- Message and data rates — standard message and data rates from wireless carriers may apply to messages sent and received
- Opt-out — end consumers may opt out of messages at any time by replying STOP. ProDispatch honors all opt-out requests automatically
- Help — end consumers may reply HELP for assistance
- Your liability — you are solely responsible for ensuring your use of ProDispatch SMS features complies with TCPA, state telemarketing laws, and Twilio's messaging policies

4. Subscription & Billing
ProDispatch is offered on the following terms:
- Setup fee — a one-time setup fee of $99 is charged upon account creation to configure your ProDispatch account, phone number, and AI dispatch settings
- Monthly subscription — $49 per month, billed monthly after the free trial period ends
- 7-day free trial — new accounts receive a 7-day free trial. No charges are made during the trial period. You may cancel at any time during the trial without being charged the monthly fee
- Billing cycle — your monthly subscription renews automatically on the same date each month unless you cancel
- Payment — payment is processed via Stripe. You authorize us to charge your payment method on file for all applicable fees
All fees are in USD. We reserve the right to change pricing with 30 days' notice to existing subscribers.
5. Cancellation Policy
You may cancel your ProDispatch subscription at any time:
- Cancel anytime — cancellations can be made from your account settings or by contacting us at prodispatch.polsia@gmail.com
- Effect of cancellation — your subscription remains active through the end of the current billing period. No partial refunds are issued for unused time in a billing cycle
- Setup fee — the one-time setup fee is non-refundable once account configuration is complete
- Trial cancellation — cancellations during the 7-day free trial incur no monthly charge
- Data after cancellation — your account data is retained for 30 days after cancellation, after which it is deleted. Export your data before cancelling if needed
6. Limitation of Liability
To the maximum extent permitted by applicable law:
- ProDispatch is provided "as is" without warranties of any kind, express or implied
- We do not warrant that the service will be uninterrupted, error-free, or that all AI-generated responses will be accurate or appropriate for every situation
- We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of ProDispatch, including lost profits, lost customers, or damages resulting from miscommunications sent on your behalf
- Our total liability for any claim arising from these Terms or your use of ProDispatch is limited to the amounts you paid us in the three months preceding the claim
You acknowledge that AI-generated messages are automated and may not perfectly reflect every business scenario. You retain responsibility for reviewing and configuring your ProDispatch settings appropriately.
7. Termination
We reserve the right to suspend or terminate your account if:
- You violate these Terms or use ProDispatch in a manner that violates applicable law
- Your use of the platform results in complaints, regulatory action, or threatens the integrity of our SMS infrastructure
- Payment is not received and remains unpaid for more than 7 days after the due date
You may terminate your account at any time as described in Section 5. Upon termination, your access to the platform ceases and your data is handled per our retention policy in Section 5.
8. Intellectual Property
ProDispatch and all associated software, designs, and content are owned by us and protected by intellectual property law. You may not copy, modify, reverse engineer, or create derivative works of the ProDispatch platform. We grant you a limited, non-exclusive, non-transferable license to use ProDispatch solely for your internal business operations during your subscription term.
9. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from these Terms or your use of ProDispatch shall be resolved through binding arbitration in accordance with the American Arbitration Association rules, or in the state or federal courts located in Delaware if arbitration is not applicable.
10. Changes to These Terms
We may update these Terms from time to time. When we do, we will update the "Last Updated" date at the top of this page. For material changes, we will provide notice via email or through the platform dashboard. Continued use of ProDispatch after changes take effect constitutes your acceptance of the updated Terms.
